THE
CONSTITUTION
THE PREAMBLE
The purpose of this organization shall be to promote matters relating to the study of accounting.
The aforementioned organization shall be known as
the Accounting Society.
Section 1 Membership shall be open to all bona fide members of the University regardless of race, religion, color, national origin, ancestry, age, sex, sexual orientation, physical or mental handicap, veteran or martial status with the rights to participate in all activities presented by the Society.
An individual will be considered a member of the
Society as long as that member acts in accordance with the articles, sections,
sub-sections, or subsequent amendments of this document, and acts in a manner
which does not discredit the University, the student body, or the city of
Camden.
The Society will not discriminate on the basis of
race, sex, handicap, or age in providing aids, benefits, or services to students.
Section 2 The members shall elect by democratic process,
a President, Vice President/Administration, Vice-President/Operation, Secretary,
and Treasurer.
Section 1 Officers are elected to carry out the purposes of the Accounting Society. Each officer should know parliamentary procedure, the constitution of the society, and his/her particular duties.
Race, sex, handicap, or age shall not limit any person
from the ability to hold office.
PRESIDENT
The president presides at all meetings of the Society
and Executive Board. It is the responsibility of the President to conduct
the meeting impartially and to protect each member’s right for which knowledge
of parliamentary procedure is necessary. The President shall have the necessary authority to carry out the
objectives of the Society as well as those responsibilities, obligations,
and inherent privileges of that office. The
President has the authority to appoint individuals to fill positions as deemed
necessary and also to discharge those same appointees (for example, but not
limited to, the GAO Rep).
VICE-PRESIDENT
The Vice-President performs the duties of the President
in the absence of the President. The
Vice-President shall be responsible for promoting the Society and taking care
of membership. In addition, the Vice-President
has the roles of the President. In the event that the President is not present, the Vice-President
shall conduct the meeting.
SECRETARY
The main duty of the Secretary is to keep records
of the Society’s meetings. These records
are called “minutes”, and they should record the actions of the Society, but
not the discussions and debates. The Secretary’s minutes are the official record of the Society.
They should be accurate and contain only the actual business transacted.
The Secretary also has the responsibility for the correspondence of
the Society. It is the responsibility
of the secretary to have the official copies of the by-laws, constitution,
and official file. The Secretary should
also provide the President with a list of postponed motions and unfinished
business in advance of each meeting so that it can be included on the agenda.
In addition, the Secretary is responsible for preparing and posting
notices of meetings well in advance.
TREASURER
The Treasurer is custodian of the Society’s funds
and receives them and disperses them when authorized to do so. The Treasurer should be authorized to pay the
bills of the Society. The Treasurer should make up monthly statement and annual
statement. The other officers should
audit the annual statement. At the
meeting of the Society, the Treasurer reports to the membership on the state
of the Society’s finances.
The Treasurer
should be familiar with all Rutgers’ Student Fund procedures and is responsible
for keeping accurate records of all financial transactions.
GENERAL ASSEMBLY OF STUDENT ORGANIZATION REPRESENTATIVE
(GAO REP)
The GAO Rep shall go to the regularly scheduled
meetings of the General Assembly of Student Organizations as an official representative
of the Society. It is the GAO Rep’s
responsibility to discuss with the General Assembly of Student Organizations
any problems the Society may be confronted with. Funding requests for the Society to Student
congress also must be made by through the GAO Rep.
This position is an appointed one. It is the President’s duty to appoint someone
to fill this position. The appointee
may or may not be an elected officer.
Section 2 The term of office shall run the length of
the calendar year (Spring and Fall semesters).
Section 3 All officers must have upon election, and
maintain throughout their term, a minimum of a 2.0 grade point average.
Section 4 The process for nominations and elections
should be a democratic one. For any
questions see the latest edition of “Robert’s Rule of Order”. As stipulated in “Robert’s Rule of Order”,
the President casts any tie breaking votes.
In the event of voluntary or mandatory resignation
of an elected officer, the President will fill the vacancy.

In
the event of a voluntary or mandatory resignation of an elected officer, prior
notification must be give.
B.
Prior
notification must be given to depose an officer. A 50% quorum must be present and of the members present, a 2/3
majority must be in favor of the deposition.
All funds of the Society shall be kept in an account
in Rutgers’ Student Find, Office of the Student Congress. Dues may not be so excessive so as to
discriminate against potential members.
No part of net earnings of the Society shall insure
to the benefit of or be distributed to, its members, trustees, officers, or
other private persons. Except that the
Society shall be authorized and empowered to pay reasonable compensation for
services rendered and to make payments and distributions in furtherance of the
purposes set forth in the preamble.
“Robert’s Rule of Order, Newly Revised Edition”,
shall be the authority on all questions of parliamentary law and proceedings.
The Society must have an advisor affiliated with the
university and approved by the Student Activities Office.
Proposals for amendments must be introduced at one
meeting and voted on at the following meeting.
Every effort should be made to notify all members of pending
amendments. Approval should be made to
notify all members of pending amendments.
Approval should be at least 2/3 of the membership. The Student Activities Office must approve all
amendments to this constitution. The
Student Activities Office must approve all constitutions. Members may vote by proxies for amendments.
1. Amount of initiation fees and time and place of collection will be decided upon by the existing officers at the beginning of each academic year.
2. Student fee money may not be used to purchase alcohol. The Society’s revenue funds may be used to fund an event where alcohol will be served only if the members of the Society are of legal drinking age and student fee money was not used to generate the revenue.
3. These by-laws can only be modified as outlined in Article XI.
Section 1 Said Society is organized exclusively for
educational purposes, including, for such purposes, the making of distributions
to organizations that qualify as exempt organizations under Section 501(c)(3)
of the Internal Revenue
Code of 1954.
Section 2 No substantial part of the Society shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Society shall not participate in, or intervene in (including the publishing or distribution of statement) any political campaign on behalf of any candidate for public office.
Section 3 Notwithstanding any other provision of these articles, the Society shall not carry on any activities not permitted to be carried on (a) by an association exempt from Federal Income Tax under Section 501(c)(3) of the Internal Revenue Code 1954 or (b) by an association, contributions to which are deductible under Section 170(b)(2) of the Internal Revenue Code of 1954 (or corresponding provision of any future United States Internal Revenue Law).
Section 1 Upon the dissolution of the Society, the officers shall, after paying or making provision for the payment of the liabilities of the Society, dispose of all the assets of the society exclusively for the purposes of the Society in such manner, or to such organization or organizations operated exclusively for charitable, educational religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code 1954(or corresponding provision of any future United States Internal Revenue Law), as the officers shall determine.
Section 2 Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the County in which the principal office of the Society is located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated for such purposes.
